In keeping with our client enablement strategy, we at Nishith Desai Associates have created Deal Destination to clue you in on what you truly need to be cautioned about, advised against and armed with when considering a private equity deal in India. From the everyday (venture capital funding, PIPEs, mergers and acquisitions, debt and equity financing) to the rare (leveraged / management buyouts, ‘going private’ transactions and so on) – we aim to highlight and simplify the key legalities and complexities that restrict PE deals.

But that’s not all. Given all the reading material in circulation that many of you have no time to read, we also launch ‘NDA  Dialawgue’- a unique initiative where associates of the firm talk to you through short video clips. These 5-10 minute videos give you a generic overview of recent developments and legal issues that are analyzed in greater detail in our Hotlines and research papers. This initiative is also an attempt to break down the popular perception that lawyers can only draw up wordy legal documents that are often understood by other fellow lawyers alone! Please click on the right for the video.

To kick off this endeavor, we bring you ‘A Way Out’ which addresses the problem being faced by funds that have invested or wish to invest in companies but don’t quite know how to exit given that the preferred exit route of taking a company public through an IPO is currently not practical under such dismal market conditions.

While it may not be very apt to christen the series by discussing how you can exit your portfolio before we discuss the ways to invest, amid the looming financial crisis, we feel that many of you may want the comfort of knowing there’s a way out before you bother with the way(s) in.
