INTRODUCTION

Institutional investors (comprising of sovereign wealth funds, pension funds, endowment funds etc.) play a pivotal role in providing stable long-term capital for private equity investments. There has been a shift in allocation by institutional investors with increasing focus on alternative investments. As the popularity of alternative investment fund (AIFs) in India grows, institutional investors (both domestic and foreign) have increased allocations to AIFs in India. In recent times, institutional investors have also started anchoring AIFs and taking an active part in governance of AIFs.

In this webinar, we will share our experiences with respect to raising institutional capital by AIFs. Institutional investors often have strict internal policies, reporting requirements and governance mechanisms. There is often a need to harmonize the fund documents to cater to the requirements and internal policies of institutional investors.

Our discussions will include market standards and variations on MFN, preferable rights for anchors, ESG provisions, drawdown related conditions, prohibited investments and excuse rights.
