The amalgamation of Elcome Surveys Private Limited with Fugro Survey (India) Private Limited

DEAL BRIEF

The amalgamation of Elcome Surveys Private Limited ("Elcome") with Fugro Survey (India) Private Limited ("Fugro") in accordance with the provisions of sections 391 of 394 of the Companies Act, 1956, of India, was approved by the Bombay High Court through its order dated November 27, 2009 ("Transaction"). Both Fugro and Elcome are engaged in the business of performing, inter alia, oceanographic, topographical and geophysical surveys. Through this amalgamation, synergy in terms of operations, business and ease of administration is envisaged.
