INTRODUCTION

There is time during the Corona crisis and there will be a time after the Corona crisis. As a firm focused on private equity and predictive legal study thereof, we analyse a few themes from a deal making perspective that may evolve and emerge in the next few months as economies gear up to gradually relaxing the lock down.

Arpan Sheth is a partner in, and the office head of, our Bengaluru office. He leads the Asia-Pacific Technology, Vector and Advanced Analytics practices, as well as our India Private Equity and Alternative Investor practice. Arpan has been part of New York, Sydney and India leadership teams throughout his tenure.

Saurabh Mukherjea

Saurabh Mukherjea is the Founder and Chief Investment Officer of Marcellus Investment Managers. Marcellus Investment Managers was incorporated in August 2018 and the firm’s application to conduct Portfolio Management Services was approved by SEBI in October 2018 and provides portfolio management service. He is the former CEO of Ambit Capital and played a key role in Ambit’s rise as a broker and a wealth manager. When Saurabh left Ambit in June 2018, assets under advisory were $800mn.

Vaibhav Parikh heads the U.S office of Nishith Desai Associates. He also leads the practice areas of Technology, Mergers and Acquisitions, Private Equity, and Crypto-Assets and Blockchain. Vaibhav often plays the role of key advisor to leading crypto-asset exchanges in India and leading financial dailies often turn to him for his views on the subject. Over the years, Vaibhav has been advising many leading Indian e-commerce companies in their operations from a legal and regulatory standpoint. Tying in his expertise in advising several private equity players and venture capitalists in navigating their way to successful investments, Vaibhav has facilitated some of India’s largest e-commerce transactions.

Mr. Vivek Kathpalia heads the Singapore office of the multi-skilled, research-based international law firm, Nishith Desai Associates. He globally leads the firms International Commercial Law Practice Group. He also is a leader in the M&A & PE practice group at the firm.

He globally co-leads the Information Technology, Telecommunications, New Media and Education Industry Practice Groups. He holds numerous management positions in the firm. Vivek divides his time between Singapore and India.

Vivek advises clients in complex cross-border transactions including, technology deals, M&A, private equity investments, regulatory & commercial matters across various industry sectors. As the partner in charge of the Singapore office, he leads the firm’s various initiatives in Asia and Japan.

He actively writes articles and papers in the Indian and foreign press and is often invited to speak at conferences both in India and internationally.

Vivek earned a Bachelor’s degree in Law from the Government Law College, Mumbai and is a Solicitor affiliated with the Bombay Incorporated Law Society. He is a member of the Bombay Bar Association, Bar Council of Maharashtra & Goa & the International Bar Association. He is a registered foreign attorney in Singapore since 2007.

RUCHIR SINHA

Ruchir leads the Corporate Transactions Group in the firm, and as part of it leads the Private Equity, M&A and Structured Finance Practices at the firm. He focuses on financial services, infrastructure, technology and real estate industries. He advises extensively on PIPE deals, take private transactions, cross border tax, developing tax optimal instruments and merger control (antitrust) issues. With background in fund formation, he has also advised leading global sponsors, sovereign funds and LPs on setting up of offshore and domestic funds and investment platforms, from a legal and cross border tax perspective. He has advised both sponsors and investors on setting-up of and investments in, multiple InvITs, listed and unlisted. Ruchir was involved in the drafting and development of the REIT Regulations, and has extensively worked through industry bodies to ensure a policy framework conducive to growth of REITs and InvITs. Nominated as one of the top 3 corporate lawyers in the country under 35 by IDEX and the ‘Dealmaker of the Year’ by the Asian Legal Business (Indian Law Awards), several of his transactions have been nominated as ‘most innovative’ by Financial Times, London.
